Terms & Conditions
These Terms & Conditions apply to all services purchased from GovPointe LLC (“GovPointe”) by the individual or entity identified on this invoice (“Client”). The services, fees, payment schedule, and any service-specific details are identified on the applicable invoice, proposal, order form, or written scope of work. By signing, approving, or submitting payment toward this invoice, Client acknowledges that it has reviewed and agrees to these Terms & Conditions.
Services
GovPointe will provide the services identified on the applicable invoice and any related written scope of work or service description. Services may include federal business development support, government contracting consulting, market research, registration and certification support, profile optimization, marketing materials, proposal support, and other professional or advisory services.
Any services outside the stated scope may require additional fees and Client approval.
Payment Terms
Client agrees to pay all amounts according to the pricing and payment schedule stated on the invoice.
If the purchase includes installments or recurring payments expressly identified on the invoice, Client authorizes GovPointe to process those payments using the payment method provided by Client on the applicable scheduled due dates.
Failure to process payment or an unsuccessful charge may result in the suspension or termination of services until the outstanding balance is resolved.
GovPointe may assess a late fee of 1.5% per month, or the maximum amount permitted by applicable law, whichever is less, on overdue balances.
Complimentary or free trial services will not automatically convert into paid recurring services unless Client separately authorizes the paid service in writing or during a recorded meeting.
Refund Policy
Due to the digital, professional, and advisory nature of GovPointe’s services, fees are non-refundable once work has started.
Work will be considered started upon the occurrence of any of the following: kickoff or onboarding activities, discovery or intake, reservation or allocation of production resources, research, preparation, development of deliverables, or other material work performed in connection with Client’s purchase.
GovPointe will make commercially reasonable efforts to address legitimate quality concerns submitted by Client.
Client Responsibilities
Client agrees to provide accurate and complete information, documentation, content, credentials, approvals, and other materials reasonably necessary for GovPointe to perform the purchased services.
Client is responsible for the accuracy of information it provides and for complying with applicable government platform requirements, regulations, and third-party policies.
GovPointe is not responsible for delays, denials, processing times, system outages, validation requirements, policy changes, or other actions caused by government agencies, third-party platforms, or inaccurate or incomplete information supplied by Client.
Client delays in providing required information, access, feedback, or approvals may extend estimated delivery timelines.
Deliverables & Change Requests
Each deliverable includes up to two (2) consolidated rounds of change requests unless otherwise expressly stated in writing by GovPointe.
Client is responsible for reviewing each deliverable and submitting requested changes in a consolidated manner. Requests submitted separately may be combined and treated as part of the applicable revision round.
Any revisions requested after the two (2) included rounds, as well as new pages, additional deliverables, material changes to previously approved work, or requests outside the original scope of services, will be billed at $100 per hour or at a separately quoted rate agreed to by GovPointe and Client before the additional work is performed.
A deliverable will be considered accepted when Client approves it in writing, uses it, publishes it, submits it, shares or distributes it externally, or otherwise puts the deliverable into use.
Ownership & Intellectual Property
Upon receipt of full payment, Client owns the final content and design files specifically created and delivered to Client as part of the purchased services, except for third-party materials and GovPointe’s pre-existing or proprietary tools, templates, prompts, processes, methodologies, worksheets, systems, know-how, and background materials.
Any third-party materials incorporated into deliverables remain subject to the applicable third-party licensing terms.
Third-Party & Strategic Partners
GovPointe may utilize qualified employees, contractors, vendors, or strategic fulfillment partners to perform or support portions of the purchased services.
When applicable, GovPointe will remain responsible for coordinating the services, quality assurance, and Client communication.
Confidentiality
GovPointe and Client agree to protect non-public, proprietary, confidential, or sensitive information exchanged in connection with the services and to use such information only as reasonably necessary to perform or receive the services.
These confidentiality obligations survive completion or termination of the services.
No Guarantee of Government Contract Awards or Third-Party Outcomes
GovPointe provides consulting, support, research, optimization, business development, and related professional services. GovPointe does not guarantee the award of any government contract, solicitation, certification, registration, funding opportunity, meeting, partnership, or other government or third-party outcome.
Any decisions regarding registrations, certifications, solicitations, contract awards, eligibility, approvals, or government opportunities remain within the authority and discretion of the applicable government agency or third party.
Limitation of Liability
To the maximum extent permitted by applicable law, GovPointe will not be liable for indirect, incidental, special, or consequential damages arising from the services or Client’s use of any deliverable.
GovPointe’s total liability arising from a particular purchase will not exceed the total amount actually paid by Client to GovPointe for the services giving rise to the claim.
Client agrees to indemnify and hold harmless GovPointe and its fulfillment partners from claims, losses, or liabilities arising from Client’s misuse of deliverables, Client-provided information or data, or Client’s failure to satisfy its obligations under these Terms & Conditions.
Changes to Services
Any material modification to the services, pricing, payment obligations, or scope of an accepted invoice must be agreed to in writing by the parties.
Governing Law
These Terms & Conditions and the services purchased will be governed by and interpreted in accordance with the laws of the State of Florida. Any dispute will be resolved in the applicable state or federal courts located in Florida.
Entire Agreement
The applicable invoice, these Terms & Conditions, and any written scope of work or service description expressly incorporated into the purchase constitute the agreement between GovPointe and Client regarding the purchased services and supersede prior discussions or communications concerning those services.
If a service-specific term stated on the invoice or an incorporated scope of work conflicts with these general Terms & Conditions, the service-specific term will control solely with respect to that purchase.
